Board of Directors

To start there will be up to eleven elected positions on the board, and the initial span of each position will be one to three years, staggered so that they are not all re-elected at the same time.

Board members’ responsibility:
The primary responsibility of the Board of Directors is to the PNW burner community, enabling them to achieve their communal and artistic goals as summarized in the mission statement.

As such, the Board members should:

  • Continually be in communication with the PNW burner community about their issues/concerns/goals
  • Facilitate the development of tools for communication and awareness between members of the community through web sites, mailing lists, meetings, etc.
  • Ensure that key organizational activities are occurring (events, workshops, acquiring communal space, etc.) either through direct action or by soliciting participation from others within the community.
  • Ensure that the infrastructure of the organization (web site, administration, treasury, secretarial) is effectively handled either through direct action or by soliciting participation from others within the community.
  • Create short and long-term financially responsible business strategies.

Time commitment:
The board positions are voluntary in nature and as such we recognize that there is a limit to what the board of directors can commit in terms of their time. However, we expect that members of the board would engage in monthly meetings, several subcommittee meetings over the course of the year, and substantive individual time depending on their skill sets (e.g. book keeping, grant writing, web development, project coordination, etc.). These activities could add up to ten hours a week depending on the time of the year. The duration of the commitment is up to three years, but may be only one as initial terms will be staggered.

Handling conflicts of interest:
Each director should recognize that he or she functions as a person occupying a place of trust and should not put himself or herself in a position in which self-interest conflicts with any duty he or she owes to those for whom he or she acts. As a general rule, he or she will not be permitted to make a profit from any self-dealing transaction, whether individually or acting as an agent, without affirmatively showing full disclosure and fair dealing. Any director who actually or potentially is involved with a self-dealing problem because of his or her position as a director shall not take or participate in any action which influences a corporate decision, and he or she must make a full disclosure of his or her interest.

Location:
Board Members are expected to physically attend approximately one board meeting a month held in the greater Puget Sound region, so should either live in the area or be willing to fly in for these meetings.
